Terms of Use Policy

These Terms of Use (“Terms”) govern access to and use of RescAlert Inc.’s, doing business as Overwatch by RescAlert™ (“RescAlert,” “we,” “our,” or “us”), websites and the following products and services: RescAlert’s core website and professional services (including structured cabling and security systems integration); Overwatch Fusion™ & Fusion+™ (formerly UEMS); Overwatch Responder™; Overwatch Connect™ (formerly Overwatch Public User); Overwatch Helix™; Herschel AI™; Overwatch HostSync™; and UBX Cloud™ & NetBackup™. By accessing or using any RescAlert product or service, or by accepting these Terms, you agree to be bound by them.

1. Access

Our products are provided to authorized personnel of RescAlert and its client organizations. Accounts are created by an administrator at RescAlert or at your organization, or provisioned through your organization’s identity provider. You are responsible for keeping your credentials confidential and for all activity under your account.

2. Overwatch Fusion™ & Fusion+™

Fusion™ and Fusion+™ are provided for infrastructure and device monitoring purposes (including flood sensors, sirens, flashing-light systems, road-closure devices, and camera/VMS devices). Alerts and notifications generated from device events, including those delivered by SMS, are provided as part of the contracted monitoring service.

3. Overwatch Responder™ & Overwatch Connect™

Responder™ and Connect™ are provided to field responders, security personnel, client organizations, and their authorized personnel to receive dispatch alerts, advisories, and security notifications. Optional location-sharing features, where available, are provided solely to help your organization coordinate safety and response activity, and may not be used for any other purpose. SMS text alerts sent through either app are opt-in and voluntary, and are never a condition of creating an account or otherwise using RescAlert’s services. You may decline to opt in, or reply STOP at any time to opt out.

4. Overwatch Helix™

Overwatch Helix™ is provided only to authorized RescAlert employees for internal engineering use, and is not available to the public or to RescAlert’s clients.

5. Herschel AI™

Herschel™ is provided by invitation to authorized personnel of RescAlert and its client organizations for operational monitoring and alerting use. Text, audio, and files you submit may be processed by our third-party AI and speech providers (Anthropic, ElevenLabs, Deepgram) solely to produce Herschel’s response. SMS text alerts available through Herschel are opt-in and voluntary, and are never a condition of creating an account, completing a transaction, or otherwise using RescAlert’s services. You may decline to opt in, or reply STOP at any time to opt out, without affecting your ability to use RescAlert’s services through any other channel.

6. Overwatch HostSync™

Overwatch HostSync™ is provided as self-contained software for the sole purpose of maintaining a Dynamic DNS record on a cPanel account you control. You are solely responsible for the cPanel credentials and API token you provide to HostSync™.

7. UBX Cloud™ & NetBackup™

UBX Cloud™ and NetBackup™ are provided to client organizations as cloud infrastructure and disaster-recovery/backup services, under the terms of the applicable services agreement between RescAlert and that organization.

8. Acceptable Use

Our products are provided for legitimate operational, security, and monitoring use within your organization’s authorized context. Do not use them to process data you are not authorized to handle, to attempt to bypass access controls, or in any way that violates applicable law.

9. No Warranty

OUR PRODUCTS, INCLUDING ANY AI-GENERATED OUTPUT, ALERTS, OR REPORTS, ARE DECISION SUPPORT AND ARE NOT A SUBSTITUTE FOR PROFESSIONAL JUDGMENT. OUR PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, AND RESCALERT IS NOT LIABLE FOR ACTIONS TAKEN SOLELY ON THE BASIS OF THEIR OUTPUT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RESCALERT’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF OUR PRODUCTS IS LIMITED TO THE AMOUNT, IF ANY, YOU OR YOUR ORGANIZATION PAID RESCALERT FOR THE APPLICABLE PRODUCT IN THE SIX MONTHS PRECEDING THE CLAIM.

11. Dispute Resolution

Any dispute arising out of or relating to these Terms will be resolved through binding arbitration administered by JAMS, rather than in court, except that either party may bring an individual claim in small claims court. There is no right or authority for any dispute to be brought as a class or representative action.

12. Governing Law

These Terms are governed by the laws of the state in which RescAlert is headquartered, without regard to conflict-of-law principles.

13. Changes to These Terms

We may update these Terms as our products evolve. Material changes will be reflected by an updated “last modified” date above, and may require re-acceptance before continued use.
